Terms of Service

1. Acceptance of Terms

By accessing or using the Navaryn platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms constitute a binding agreement between you (or your organization) and Jeskel Group ("Company," "we," or "us"), the operator of Navaryn.

2. Description of Service

Navaryn provides AI-powered compliance tools for healthcare organizations, including the HIM Director Agent, HIPAA Privacy Officer Agent, and Healthcare Orchestrator. The Service is designed to assist compliance professionals in their work — it does not replace licensed compliance officers, attorneys, or clinical staff, and outputs from AI agents require human review and approval before taking effect.

The Service is provided on a subscription basis. Features available to you depend on the subscription plan selected by your organization.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to upload, transmit, or process actual Protected Health Information (PHI) in violation of HIPAA or applicable state law
  • Attempt to reverse-engineer, decompile, or extract the AI models or proprietary technology underlying the Service
  • Use the Service to develop competing products or services
  • Circumvent, disable, or interfere with security features of the Service
  • Share your account credentials with unauthorized users
  • Use the Service in any way that violates applicable law, including healthcare regulations

Healthcare organizations using the Service remain responsible for ensuring their own HIPAA compliance. The Service is a tool to assist compliance operations, not a substitute for your organization's own compliance program.

4. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at security@navaryn.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or present a security risk to the platform or other customers.

Multi-seat plans permit use by up to the number of seats included in your plan. Each seat must be used by a unique, named individual. Sharing a single seat among multiple users is not permitted.

5. Subscription, Payment, and Cancellation

Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All fees are non-refundable except as required by applicable law or as described below.

You may cancel your subscription at any time through the account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the paid period.

We reserve the right to modify pricing with 30 days' prior notice. Continued use after the notice period constitutes acceptance of the new pricing.

Free trial periods, where offered, convert automatically to a paid subscription at the end of the trial unless cancelled before the trial ends.

6. Data and Confidentiality

Your Data: You retain ownership of all data you submit to the Service. You grant us a limited license to process your data solely to provide the Service. We will not access, use, or disclose your data except as described in our Privacy Policy or as required by law.

Confidentiality of AI Outputs: AI-generated compliance documents, assessments, and guidance produced through the Service are your confidential work product. We do not use the content of your compliance work to train AI models.

PHI Handling: Navaryn is architected to prevent PHI from reaching AI models through tokenization. You are responsible for configuring and using the Service consistently with your HIPAA obligations. We offer Business Associate Agreements (BAAs) for Team and Enterprise customers.

7. Intellectual Property

The Service, including its software, AI models, interfaces, and documentation, is owned by Jeskel Group and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

You may not copy, modify, distribute, sell, or sublicense any part of the Service. Feedback or suggestions you provide about the Service may be used by us without any obligation to you.

8. AI-Generated Content and Human Review

All outputs generated by Navaryn's AI agents — including compliance documents, risk assessments, breach notifications, and physician queries — are AI-generated drafts. These outputs:

  • Are not legal advice
  • Are not clinical advice
  • Require review and approval by a qualified human professional before being acted upon or submitted to any regulatory body, patient, or third party

The mandatory human review requirement is enforced at the system level. You agree not to attempt to circumvent this requirement and acknowledge that bypassing human review would invalidate any compliance value of the output.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR REGULATORY PENALTIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jeskel Group and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable law, including HIPAA; or (d) any data you submit to the Service.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Delaware. The prevailing party shall be entitled to recover reasonable attorney's fees.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

12. Changes to Terms

We may update these Terms at any time. We will provide at least 30 days' notice of material changes by email or by posting a notice in the Service. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
